This Provider Terms of Service ("Agreement") is a contract entered into by and between the applicable Healthcare Provider who enters into this Agreement during the registration process for the Services ("you" or "your") and AIGlowTrack LLC ("AIGlowTrack", "we", "our", or "us"). This Agreement applies to you, individually and/or jointly, as an agent on behalf of an entity if you access the Services on behalf of your employer or organization, and you represent you are authorized to bind your employer or organization if acting as an agent. Under this Agreement, you and AIGlowTrack are each a "Party" and collectively, the "Parties".

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement as well as the AIGlowTrack LLC General Terms of Service, and Privacy Notice ("Supplemental Terms"), which are hereby incorporated herein by reference. Your access and use of the Services is conditioned upon your compliance with this Agreement, which applies to you as a Provider, and the Supplemental Terms, which also apply to you generally as a User of the Services. All capitalized terms not defined herein shall have the same meaning as in the Supplemental Terms. If this Agreement is inconsistent with the Supplemental Terms, the terms of this Agreement shall control.

This Agreement applies to Healthcare Providers who utilize our Services and does not apply to any other Users of the Services, who are subject to our General Terms of Service.

AIGlowTrack provides the Services, which include an artificial intelligence–enabled image processing functionality made available through the Services to assist Providers and Patients in assessing skin conditions and tracking treatment progress ("AI Skin Analysis Feature"), database used by Patients to track and share treatments and procedures, and resources for allowing Patients to search for and identify a Healthcare Provider as a potential fit for them.

Your use of the Services to connect with Patients does not create a provider-patient relationship between the Patient and AIGlowTrack. The actual terms and contract governing the provider-patient relationship are between are directly between you and the relevant Patient.

The Services enable you, as a Provider, to collect information from Patients to be able to manage and provide Healthcare Provider services, including without limitation Patient identifying information and health records. To the extent that you directly obtain any such information from a Patient in connection with your use of the Services or outside of the Services, you represent and warrant that you have obtained all necessary authorizations from Patient to collect such information. Providers must comply with HIPAA and state laws when collecting Patient information via the Services.

Notwithstanding the foregoing, or AIGlowTrack's role in facilitating certain interactions between Patients and Healthcare Providers, AIGlowTrack cannot confirm that each Patient is who they claim to be, or that the Patients can or will pay for your medical services. AIGlowTrack does not assume any responsibility for the accuracy or reliability of any information provided through the Services by Patients. AIGlowTrack shall, in no manner whatsoever, be responsible or liable for any payments to any Healthcare Provider from any Patient.

Neither AIGlowTrack nor its affiliates, licensors, officers, employees, agents, partners and suppliers are responsible for the conduct, whether online or offline, of any Patients or Users on the platform.

We offer the ability for Healthcare Providers to register for a Provider Account ("Provider Account") on the Services. In order to register a Provider Account, you will be asked to provide registration information, including your username and email address, when signing up for an Account. You agree to provide us with correct information about yourself and your professional credentials. Some of the Services are based on that information and we cannot be liable for any incorrect information supplied to us by you or (if applicable) information relating to the Patient.

Your registration and use of an Account are also governed by our Privacy Notice, as applicable. Please see our Privacy Notice to learn more about the information we collect and how we use it.

You agree that your access and use of the Services is subject to verification of your identity and credentials as a healthcare practitioner and to your ongoing qualification as such. As part of the registration process and at any time thereafter, Healthcare Provider may be required to provide AIGlowTrack with various information such as licenses, qualifications, area of expertise, accreditations and other information in order to prove their credentials as a valid healthcare practitioner in the field they claim ("Credential Information"). AIGlowTrack may verify such Credential Information or may ask you for additional information. AIGlowTrack may also make enquiries from third parties to verify the authenticity of their Credential Information. You authorize AIGlowTrack to make such enquiries from such third parties, and you agree to hold them and AIGlowTrack harmless from any claim or liability arising from the request for or disclosure of such information. You agree that AIGlowTrack may suspend or terminate your access to or use of the Services at any time if we are unable at any time to determine or verify your Credential Information. AIGlowTrack reserves the right to carry out re-verification of Credential Information as and when required, and the above rights and commitments will extend to re-verification as well. You shall also keep their Credential Information updated and will inform AIGlowTrack immediately should any portion of their Credential Information be revoked, cancelled or expire. Providers must provide accurate Credential Information (e.g., licenses, accreditations) and update it promptly if revoked. AIGlowTrack may terminate access if Credential Information cannot be verified, with notice to the Provider.

You agree to comply with all applicable federal, state, and local statutes, orders, regulations, rules, and other laws including but not limited to, HIPAA and state data privacy laws. As a User designated as a Healthcare Provider, you represent and warrant to us that you are a medical practitioner or other healthcare professional, registered with the appropriate medical body, have all the requisite accreditations and indemnities to practice legally including work you will undertake on the Services, and you accept that you, and not AIGlowTrack, are responsible and liable for Patient treatment and care you provide using the Services. AIGlowTrack works with Healthcare Providers to make available support related to treatment planning, but all clinical decisions rest with the applicable Healthcare Provider.

You agree that you are solely responsible for your own compliance with HIPAA, and agree to provide your own form of Informed Consent, Privacy Policy/Notice of Privacy Practices and other policies and terms and conditions applicable to your relationship with your Patient(s) as required by HIPAA and other applicable laws. To the extent required by applicable law, the Parties shall mutually agree to execute any agreements, including a Business Associate Agreement (BAA) for the provision of the Services, and Providers must execute a BAA with AIGlowTrack prior to processing any PHI.

You agree to provide accurate registration details. We reserve the right to terminate or suspend your access to the Services, at any time, if in our opinion you have failed to comply with any of the provisions of the Supplemental Terms, this Agreement, or if any details you provide for the purposes of registering as a User prove to be false.

You agree to observe your duties of confidentiality as a Healthcare Provider (including without limitation any professional codes of conduct). You will take, at a minimum, commercially reasonable measures to prevent the unauthorized disclosure or use of such information. You may only disclose such information if it is strictly necessary to fulfil your obligations under Agreement or if it is required by law.

You agree to not use the AI Skin Analysis Feature as a medical device or rely on it for the diagnosis, treatment, cure, or prevention of any disease or medical condition. You are prohibited from representing any Outputs or analysis of the AI Skin Analysis Feature as medical fact to any Patient or third-party.

You represent and warrant that you are responsible for ensuring that you maintain all necessary registrations, indemnities and insurance to provide care to Patients for as long as you use the Services.
